PRIVATE DEBT FINANCING LEGAL SERVICES

And whereas banks and other finanical institutions are a primary source of debt financing, banks may not necessarily be willing to advance their funds to facilitate your business ventures. As such, it often proves necessary to seek out private sources of funding, without necessarily conferring corporate shares unto the financial investor (the hallmark of equity financing).

When the finance arrangement is structured as a clear return-on-investment via a debt instrument (loan, promissory note, debenture, etc.), such a financial arrangement is heavily enmeshed in legalities. Critical to any such process is the security that is sought by the financier (the creditor), such that they have assurances with respect to the repayment of the funds advanced and the agreed upon return-on-capital. Conversely, the company receiving those funds (the debtor) cannot allow itself to be unnecessarily impeded by conferring such security to the financier/creditor. It is a careful balance acting, that needs to be orchestrated in conjunction with experienced legal counsel such that the objective goals of such debt financing (corporate success and profits shared by debtor and creditor alike) is ultimately realized.
